Secretary of State Proposes Rules for Issuing Fairness Opinions

Georgia Secretary of State Brian Kemp has published proposed regulations to govern his consideration of applications for rendering fairness opinions on the terms and conditions involving the exchange of securities. The first such opinion rendered by his office related to bank M&A transactions was in connection with the merger of Brookhaven Bank into Georgia Commerce Bank. As this was the first such request and other parties had expressed interest in perhaps taking advantage of the process, Secretary Kemp felt it was important to publish the proposed regulations outlining the procedures and fees to be paid. GBA Briefs Vidalia Rotary about State of Industry

Better banking conditions, technology and community involvement were among the trends GBA President and CEO Joe Brannen talked about to the Vidalia Rotary Club Wednesday. "Simply put, your local banks and bankers continue to have a tremendous stake in the economic growth, health and vitality of Toombs County," he said during his talk. "And as the economy improves, I've sensed a renewed attitude and spirit of optimism from bankers and the businesses they support." Among the attendees were a big group of bankers from GBA members Ameris Bank, Vidalia Federal Savings Bank, Altamaha Bank, Mount Vernon Bank, and the Claxton Bank. Brannen spoke at the invitation of John Tyson, Ameris Bank.


Humorist Jeanne Robertson to Close Annual Meeting with Laughs

Hall of fame speaker and nationally recognized southern humorist Jeanne Robertson will close the 2014 GBA Annual Meeting at the Greenbrier, which is coming up June 15-17. Robertson speaks to thousands of people annually, and she uses her positively funny style to illustrate that a sense of humor is much more than a laughing matter. It is a strategy for success. Robertson will speak to attendees after the Chairman's Farewell Dinner on Tuesday night, June 17. A big crowd is registered for the GBA Annual Meeting, and we're looking forward to capping off a program full of important banking trends and topics with a celebration of GBA's member volunteers and some fun. Georgia Banking Update Has New Information

We’ve added the most recent Georgia bank performance statistics out from the FDIC last week to our Georgia Banking Update. The June issue also has updated information about bills approved by the U.S. House Financial Services Committee that would expand the definition of qualified mortgages to all portfolio loans and exempt more lenders from Dodd-Frank Act escrow rules. We’ve also added information about a U.S. Hose bill that would change the method by which Bank Holding Companies are designated for enhanced supervisory and prudential standards by the Dodd-Frank Act.


Compliance Committee Meeting

Thorough Exams, UDAAP, Mortgage Rules on Compliance Officers' Minds

GBA's Compliance Committee met this week to share trends and begin planning the annual GBA Compliance Conference. The conference will be Sept. 24-26 at Idle Hour Country Club in Macon. During a roundtable discussion, Georgia's bank compliance pros talked about how exam teams are focusing heavily on possible UDAAP issues and other practices that the examiners believe may put customers at risk, among other issues. Online Bidders Gaining Traction in Auctions

GBA Associate member John Dixon & Associates reports the company sold 108 properties in Georgia and South Carolina last week for a total of $8.25 million. The auctions were conducted in Savannah, Gainesville and Greeneville, S.C. and the properties ranged from office buildings, other commercial and residential properties to land. The auctions were noted for the number of both online and in-person bidders. Principal John Dixon said, "We actually had more registered bidders online than in person, and 41 percent of the properties sold to bidders who were participating online." Regulators Ask For Comment about Outdated, Burdensome Regulations

An effort to collect comments to identify outdated, unnecessary, or unduly burdensome regulations imposed on insured depository institutions is underway. Regulators this week published the first in a series of requests for comments as part of a requirement for regulators to review regulations every 10 years. The first notice seeks comment on regulations from three of 12 total categories: Applications and Reporting; Powers and Activities, and International Operations. The deadline is Sept. 2 to review and comment on this first set of categories. Positive Outlook for Regional Economy Noted by Fed

Auto sales, tourism and home sales were among the areas of economic improvement noted the Federal Reserve's Sixth District Beige Book economic report this week. The overall outlook is positive with most contacts expecting either the same or a slightly higher level of growth for the remainder of the year, the report said. In the banking sector, loan demand for most types of loans was up across most parts of the region. More from the Beige Book here...


Major Cybercrime Network Disrupted

U.S. and international authorities this week announced they seized a global network of computer servers known as the Gameover Zeus Botnet. Gameover Zeus, also known as "Peer-to-Peer Zeus," is an extremely sophisticated type of malware designed to steal banking and other credentials from the computers it infects. Unknown to their rightful owners, the infected computers also secretly become part of a global network of compromised computers known as a "botnet." More about the Gameover Zeus news here...


Small Business Rock Stars Wanted

Here's a good way to show support for your best small business customers. The Georgia Economic Development Association (GEDA) is seeking nominations for its annual Rock Stars of Small Business awards. The awards seek to recognize any type of small business that employs fewer than 100 people as a way to salute the risks, the innovations, the outreach and the impact these companies have on Georgia. Consumers More Comfortable Moving Toward Mobile, Non-Traditional Banking

Accenture just released its 2014 Digital Banking Consumer Survey of over 4,000 participants. The results of the survey highlight the exponential progress of both technology and the influence of the 80-million-strong Y generation upon financial services and payment systems. The rate of consumer change is startling. Of the 4,000 surveyed, 71 percent said they would consider banking with a non-traditional services company and 27 percent said that if they were to change banks, they would consider a totally branchless digital bank. Both the Y generation and the Millennial generation are more connected to Google, Amazon, Apple, PayPal and Square than they are to a traditional bank. They live their lives on a mobile platform and expect real-time experiences. They have been trained by non-financial services companies to expect this level of technology and real-time service and they are not about to change for the banking industry. Call Reporting Seminar Coming up June 24

GBA will host its annual Call Reporting seminar June 24, at Idle Hour Country Club, Macon. This one-day seminar presented by Mauldin & Jenkins, LLC, will offer practical techniques to improve your overall reporting process. Participants will receive a detailed line-by-line review in the completion of each schedule of a Call Report. Appropriate items to be reported and relationships between schedules will be discussed as part of this review. In addition, changes to the Call Report effective in 2014 will be discussed, along with the 2015 changes to Schedule RC-R. Most commonly-used schedules within the Call Report will be addressed, with an emphasis placed on Schedules RC-C and RC-R. To register, click here.
